1. Definitions

For the purposes of these Terms:

  • "Statement" means Statement the Agency, including its legal entities, affiliates, and operators.
  • "Platform" means the online marketplace operated by Statement at www.statementtheagency.com.
  • "Freelancer" means any independent professional offering services via the Platform (also referred to as "The Crew", "Creatives", or "Specialists").
  • "Client" means any individual or entity purchasing services via the Platform (also referred to as "Businesses" or "Brands").
  • "Services" means professional services provided by Freelancers to Clients.
  • "Service Fee" means the fee payable to Statement for use of the Platform.

2. Scope & Acceptance

By accessing or using the Platform, you confirm that you have read, understood, and agreed to be legally bound by these Terms.

Statement reserves the right to amend these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.

3. Role of Statement

Statement operates solely as a payment collection and disbursement agent for Freelancers.

Statement is not a party to any agreement for Services between a Client and a Freelancer and does not guarantee the quality, legality, or outcome of Services.

4. Platform Fee

Statement charges a non-negotiable Service Fee equal to twenty percent (20%) of the total project value, exclusive of taxes.

The Service Fee is earned upon initiation of a project through the Platform.

The Freelancer irrevocably authorizes Statement to deduct the Service Fee from any amounts paid by the Client.

No Services initiated via the Platform may be performed without the applicable Service Fee being paid.

5. Payments, Holding of Funds & Release

All payments must be made exclusively through the Platform.

Client payments are collected by Statement and held temporarily as a payment holding arrangement for administrative and risk-management purposes.

Funds shall be released to the Freelancer when:

  • the Services are marked as completed, and
  • the Client has approved the deliverables or failed to raise a dispute within a reasonable timeframe.

Statement may withhold, delay, or reverse payments in cases of:

  • disputes
  • suspected fraud
  • breach of these Terms
  • legal or regulatory obligations

Statement does not act as a bank or escrow agent in a regulated capacity.

6. Prohibition of Circumvention

Clients and Freelancers expressly agree not to circumvent the Platform.

Circumvention includes, but is not limited to:

  • entering into direct agreements outside the Platform
  • exchanging contact or payment details to avoid fees
  • continuing collaboration outside the Platform following an introduction via Statement

Enforcement & Consequences

In the event of circumvention, Statement reserves the right to:

  • immediately suspend or terminate accounts
  • withhold or reclaim payments
  • charge liquidated damages equal to at least the avoided Service Fee
  • pursue legal remedies for damages and injunctive relief

These remedies are cumulative and not exclusive.

7. Intellectual Property & Portfolio Use

Freelancers retain ownership of their intellectual property unless otherwise agreed with the Client.

By using the Platform, Freelancers grant Statement a non-exclusive, perpetual, royalty-free, worldwide license to:

  • display completed work
  • publish case studies
  • use names, logos, visuals, and descriptions for marketing and promotional purposes

All work completed via the Platform may be included in Statement's public portfolio and case listings.

Freelancers warrant that they have all necessary rights and permissions to grant this license.

8. Freelancer Status

Freelancers act solely as independent contractors.

Nothing in these Terms creates:

  • an employment relationship
  • a partnership
  • an agency or joint venture

Freelancers are solely responsible for:

  • taxes and social contributions
  • insurance
  • legal compliance

9. Client Obligations

Clients agree to:

  • provide accurate project information
  • cooperate in good faith
  • make timely payments
  • review deliverables promptly

Failure to do so may result in automatic release of funds.

10. Disputes Between Users

Disputes are primarily the responsibility of the Client and Freelancer.

Statement may, but is not obliged to, assist as a neutral intermediary.

Decisions by Statement regarding payment release are final, except where prohibited by law.

11. Suspension & Termination

Statement may suspend or terminate access to the Platform at its sole discretion, including in cases of:

  • breach of these Terms
  • fraud or abuse
  • reputational or legal risk

Termination does not affect accrued rights or obligations.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Statement shall not be liable for indirect, incidental, or consequential damages.
  • Statement's total liability shall not exceed the total Service Fees paid by the user in the preceding twelve (12) months.

13. Indemnification

Users agree to indemnify and hold Statement harmless from any claims, damages, or liabilities arising from:

  • breach of these Terms
  • infringement of third-party rights
  • misuse of the Platform

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of The Netherlands.

Any disputes shall be submitted to the exclusive jurisdiction of the competent courts in The Netherlands.
